About this transcript
Automatic transcription, not the official record. This is what speech recognition heard at the meeting; it mis-hears names and numbers, and no editor has checked it. The clerk's minutes are the official record. Every line links to the moment in the recording — check anything that matters.
Voices were separated automatically and named from the meeting's speaker roster where the evidence supported it. An unnamed voice shows as Speaker 12 — a machine label, not a person's name.

0:00:00 — open the recording at 0 secondsSpeaker 0 I pledge allegiance to the flag of the United States of America and to the republic for which it stands, one nation, one God, indivisible, with liberty and justice for all.
0:00:22 — open the recording at 22 secondsSpeaker 6 (chair) Good morning. Let's start off with the minutes from Monday's meeting. those were emailed out I assume everyone's had a chance to review them
0:00:33 — open the recording at 33 secondsSpeaker 9 I'll make a motion to approve the minutes
0:00:36 — open the recording at 36 secondsSpeaker 10 (chair) thank you Carrie I'll second thank you Mark all those in favor say aye aye
0:00:42 — open the recording at 42 secondsSpeaker 6 (chair) all right thank you next on the agenda we plan on giving an update on the letters of engagement from financial consultants
0:00:51 — open the recording at 51 secondsSpeaker 10 (chair) and from legal counsel we still have those under review we have received the engagement letter from Crowhorwath from the financial side really focusing on the county financials have a call later this afternoon to kind of further define the scope of the engagement with Tim Barry he's been working with with mr. Bramble on that so I'm just seeking a little clarity there and hopefully bring that in front of the board next week hopefully for for execution and then have received finally an engagement letter from Barnes and Thornburg for the
0:01:24 — open the recording at 1 minute 24 secondsSpeaker 10 (chair) legal side they're up to speed on the engagement as well and they have experience working with Tim Barry at Crow so we might see some synergies there that maybe weren't necessarily expecting so that could only work in our favor so that one's also under review I would say looking to add some additional language into that engagement to kind of cap the amount of the fees to make sure we stay within the dollars that have been allocated to this oversight board.
0:01:56 — open the recording at 1 minute 56 secondsSpeaker 13 (oversight board member) And the hope would be between now and our next meeting, get updated letters of engagement that are sufficient, that we are good with, and hopefully vote those and proceed forward. For sure. Okay.
0:02:09 — open the recording at 2 minutes 9 secondsSpeaker 14 Yeah. So as soon as those are in, forward those out to you guys and let you review before the meeting.
0:02:17 — open the recording at 2 minutes 17 secondsSpeaker 10 (chair) We have a treasurer's report on here. Heather, do you have anything to report?
0:02:22 — open the recording at 2 minutes 22 secondsHeather LaBella (treasurer) So the board hasn't incurred any expenses yet, so the balance is still $100,000.
0:02:32 — open the recording at 2 minutes 32 secondsSpeaker 10 (chair) Thank you for that. I think we warned everybody it would be a really short agenda. Do we have any comments from the public today? Come on up, Neil.
0:02:44 — open the recording at 2 minutes 44 seconds Just a question. I'm sorry, Marco. Let's go first. I've got to look for what I'm doing to say.
0:02:49 — open the recording at 2 minutes 49 secondsSpeaker 26 So, thank you. Excuse me.
0:02:51 — open the recording at 2 minutes 51 secondsSpeaker 27 (public commenter) In the engagement, or when you've reached out to the accounting firm and the law firm, do they provide you a fee associated with the amount of work they're doing, or is it a retainer for the oversight committee has to agree to a retainer, and then they give you progressive billings as their services continue.
0:03:26 — open the recording at 3 minutes 26 secondsSpeaker 28 But I didn't know if this is going to be a hard bid or hard that they're going to provide.
0:03:30 — open the recording at 3 minutes 30 secondsSpeaker 10 (chair) Yeah, so both engagement letters basically just define the hourly rates that they're going to charge. Okay. So there's no up front retainer fees or the like. And so then we would get progress billings at the end of each month, basically, for their engagements. And what we're trying to incorporate is, because we know we have a hard cap of $100,000, is incorporate those hard caps into each of the engagement letters so that the two add up to not be more than $100,000 to cap our exposure.
0:04:02 — open the recording at 4 minutes 2 secondsSpeaker 27 (public commenter) Okay, so will their services stop once the school corporation engages and agrees with a construction company or some firm to move forward?
0:04:19 — open the recording at 4 minutes 19 secondsSpeaker 6 (chair) That's a good question, Neil. I'd imagine we're trying to still define those engagements, the scope of the engagement.
0:04:27 — open the recording at 4 minutes 27 secondsSpeaker 10 (chair) I think their engagement likely ends when the presentation to the county council is made.
0:04:37 — open the recording at 4 minutes 37 secondsSpeaker 35 At least that's my interpretation.
0:04:38 — open the recording at 4 minutes 38 secondsSpeaker 41 Which would be no later than April 15th.
0:04:42 — open the recording at 4 minutes 42 secondsSpeaker 42 But at that point, I mean, the funds were allocated for this specific purpose. And I think technically, by the rule of it, we would be done by April 15th at the latest. So the funds have to be used by April 15th?
0:04:56 — open the recording at 4 minutes 56 secondsSpeaker 32 I'm not saying the funds have to be used. We're saying that our deliverable is to make a pitch or a recommendation to the county council,
0:05:03 — open the recording at 5 minutes 3 secondsSpeaker 10 (chair) which is April 15th is the task we've been given.
0:05:07 — open the recording at 5 minutes 7 secondsSpeaker 35 So the funds should extend beyond that, but the work is really done by that point.
0:05:13 — open the recording at 5 minutes 13 secondsSpeaker 46 The work by both firms, though? Correct. Okay. Correct. Yeah, that was – thank you.
0:05:19 — open the recording at 5 minutes 19 secondsSpeaker 51 (county commissioner) Yeah. yeah I was just wanting to make public record I think you all know but February 10th I have asked for time on the County Council agenda at their 5 p.m. meeting that is their second meeting of the month and at that time I would just introduce all of you and you can we'll come up and answer questions and also give an update as to where we are that was part of the ordinance that was passed was that monthly representative from the oversight board would give the council an update on where we are so february 10th 5 p.m that's all i got thanks thank you commissioner thank you
0:06:07 — open the recording at 6 minutes 7 secondsSpeaker 30 any other questions
0:06:14 — open the recording at 6 minutes 14 secondsSpeaker 10 (chair) um just so so our next our regular meeting would have been monday which is a is a holiday we talked about moving that to tuesday but i think given that where we're at we're probably looking at canceling or not holding that tuesday meeting so our next meeting will be next thursday january 22nd
0:06:37 — open the recording at 6 minutes 37 secondsSpeaker 57 Any other business to discuss? I'll make a motion to adjourn. Thank you, Mark. I'll second. Thank you, Carrie. All those in favor?
0:06:48 — open the recording at 6 minutes 48 secondsSpeaker 14 All right, thank you.
